Our Terms of Use of Halo Go Lifestyle

These Terms of Use of Halo Go Lifestyle (“Terms of Use”) govern your use of the Halo Go Lifestyle Platform (“Platform”), unless otherwise stated, to your use of any other services, including website, mobile application, our application programming interfaces (APIs) owned or operated by Halo Go or operated on behalf of Halo Go (collectively the “Platform”). This Platform is owned and operated by Winner Venture Sdn Bhd (Company No.: 201801023401 (1285421-A)) (“Winner Venture”, “Halo Go”, “Halo Telco”, “Company”, “us”, “we”, or “our”). Please read these Terms of Use carefully before using the Platform. We may modify these Terms of Use at any time at our sole discretion, and such modifications shall be effective immediately upon posting of the modified Terms of Use. You agree to review the Terms of Use periodically to be aware of such modifications and your continued access to or use of the Platform shall be deemed your conclusive acceptance of the modified Terms of Use. Halo Go reserves the right at its absolute discretion to vary, delete or add any of the clauses in these Terms of Use from time to time without prior notice. If you do not agree with these Terms of Use, you should cease using the Platform immediately.

The usage of specific Products and Services offered on the Platform shall be governed by the terms and conditions of such Product and Services. These Terms of Use shall be read together with the terms and conditions of such Product and Services and Halo Go Lifestyle’s Privacy Notice.

Definitions and Interpretations

Kindly read these Terms of Use carefully before using and/or accessing the Platform. By using and/or accessing the Platform, you hereby signify your agreement to be bound by these Terms of Use. If you disagree, kindly discontinue to use or access the Platform.

Further, the below words and expressions shall have the following respective meanings:

“Force Majeure”

 

means an act, omission or circumstances relied on by one of the parties to the agreement as a force majeure event and over which that party could not reasonably have exercised control including but not limited to failure, shortage or interruption of electrical power or supply, riots or civil commotion, strikes, lock outs or trade or labour disputes or disturbances, plague, epidemic or quarantine, pandemic, fire, flood, drought or acts of any Government or sovereign, change in any Law, acts of war or terrorism (whether real or perceived), inclement or extreme weather conditions and acts of God. An event or act shall not be excused or delayed by Force Majeure if it could not reasonably be circumvented through use of alternative sources, work around plans or other means as may be agreed between the parties.

 

“Governing law”

means the terms and conditions stipulated in the Platform shall be governed and construed in accordance with the laws of Malaysia to the extent that if any matters arising or incidental to these terms and conditions should be subject to the laws of Malaysia.

 

“Product”

means all and any products offered or provided by Halo Go within any of its website, either at the present or hereafter.

 

“Service”

means all and any of the services provided by Halo Go via the Platform, including but not limited to the information services, content and transaction capabilities on the Platform and the availability to make a Purchase.

 

“Taxes”

means all taxes (including financial charges, goods and services taxes, sale and service taxes imposed by the Government), dues, duties, levies, and other related charges (any related interest and penalties) required/imposed under any law of any jurisdiction in Malaysia with respect to the prices of the Product payable to Halo Go.

 

“User”

 

means the users of the Platform.

“You”

means yourself as a visitor of the Platform, whether as a paying or a non-paying visitor.

 

 

Any words and expressions used herein other than not otherwise defined in the Definition clause shall be interpreted in accordance with the standard practices of operation.

Any words importing the singular include the plural and vice versa where the context requires.

  1. Applicability and Eligibility

 

  • Your usage of the Platform, any of the Services, any purchase made and/or any other transactions that may be performed or conducted through the Platform are each subject to these Terms of Use.

 

  • To use the Platform, the Services and/or to make any purchase, you must be thirteen (13) years of age or over.

 

 

  1. Use of the Platform

 

  • Your agreement to use the Services, Platform and/or conducting any purchase does not include the provision of a compatible smartphone or any other necessary equipment by us to you in achieving any of the said purposes. To use the Platform, the Services and/or to make a purchase, you will require an internet connectivity and appropriate telecommunication links. We shall not be liable for any telephone costs, telecommunications costs or other costs that you may incur in connection with the same.

 

  • You expressly agree to use the Platform, Products and/or Services only for lawful purposes, and not to make use of the Platform, Products and/or Services for any commercial uses unless you acquire prior written approval from Halo Go.

 

  • You agree to use the Platform in a manner consistent with all applicable laws and regulations.
  • You understand that you are responsible for any content that you post or transmit on or through the Platform.

 

  • You shall not use the Platform, Products and/or Services for any unlawful, fraudulent, criminal or otherwise illegal activities, or activities that will invade another’s privacy, cause irritation, annoyance, inconvenience or unnecessary concern to any person.

 

  • You shall not misuse the Platform. By using and accessing the Platform, you shall not commit or encourage a criminal offence, transmit or distribute a virus including but not limited to Trojan horse, worm, logic bomb or post any other materials on the Platform which is malicious, technologically harmful, in breach of confidence or in any way offensive or obscene, corrupt data, cause annoyance other users, infringe upon the rights of any other person’s proprietary rights or send any unsolicited advertising or promotional material. We reserve the right, at our own discretion, to prevent you from using the Platform, the Services (or any part of them) and/or from making any purchase in the event of any of the above was conducted by you.

 

  • Halo Go shall have the right (but not the obligation) in its sole discretion to monitor, refuse or remove any content that is available via the Platform. Without limiting the foregoing, Halo Go shall have the right to remove any content that violates these Terms of Use or is otherwise objectionable.

 

 

  1. Content and Related User Conduct

 

  • You acknowledge that you shall have no rights to alter, replicate, reproduce, reassign, distribute or store any of the contents in the Platform without prior written approval from Halo Go.

 

  • Specifically, you will not use the Platform and/or in the name of the Platform, to post, transmit, distribute, link to, or solicit content that:

 

  1. contains any advertising and promotional message;
  2. contains any region, race, religion, or political party related materials;
  3. violates or infringes any laws, regulatory requirements or codes;
  4. infringes or violates any copyright, trademark or any other intellectual property, personal or proprietary rights of any person, or violates any obligation of confidence or any other proprietary right;
  5. contains any obscene, offensive, defamatory or otherwise actionable material;
  6. undermines the security or integrity of the Platform, including without limitation by importing any viruses, Trojan horses, time bombs or other disabling devices/items intended to detrimentally interfere, damage, surreptitiously intercept or expropriate such equipment, systems or networks;
  7. contains any errors, whether technical or otherwise; or
  8. contains any material in any form that would otherwise render Halo Go liable or expose Halo Go to any proceedings whatsoever.

 

  • You may not use any automatic or manual device/item or process to monitor or copy the Platform or any portion of the content contained herein without Halo Go’s express written permission.

 

  • You may not use any device/item, software or routine to interfere or attempt to interfere with the proper working of the Platform, or to impose an unreasonable or disproportionately large load on the servers serving the Platform.

 

 

  1. Violation of Terms

 

  • You agree that if you are found to be involved in activities violating the instructions provided by Halo Go with regards to the use of the Platform, Products and/or Services and/or any of the activities mentioned in Clause 3 above, your account will be indefinitely frozen from access without any form of notice and a related public notice will be published. The activities mentioned in this clause shall include but not limited to:

 

  1. suspected fraudulent act in your account registration and/or purchases;
  2. does not abide to these Terms of Use or any other terms and conditions of the Products and/or Services;
  3. does not abide to the Privacy Notice of Halo Go; and/or
  4. involved in acts of immorality and/or defamation to the Halo Go brand and/or to any stakeholders and/or employees of Halo Go.

 

  • Halo Go reserves the right to proceed with any further actions against you in the event that you are found to be conducting any of the activities mentioned in Clause 4.1 above, including but not limited to imposing a fee or penalty, suspension or termination of your use of the Platform, and/or take any legal actions against you, of which actions shall not be prejudicial to any parties’ rights.

 

  • Pursuant to Clause 4.1 above, all services in your account will be disabled until your account is proven otherwise. Halo Go, in its sole discretion, may also suspend your use of the other Halo Go’s websites, mobile applications and/or any other services belonging to Halo Go which includes but not limited to the following platforms:
  1. HaloGo Application;
  2. HaloGo Corporate (where applicable);
  3. HaloGo Lifestyle; and
  4. Any other Halo Go’s platforms as determined by Halo Go from time to time.

 

  • All services and entitlement will resume should your account is released.

 

 

  1. Amendments

 

  • Halo Go reserves its rights to alter or otherwise vary these Terms of Use at any time and shall provide you notice thereof by email or by publishing the change of terms on the Platform or by other reasonable means. It is your responsibility to regularly check the Platform to determine if there have been changes to the Terms of Use and to review such changes. Should you be dissatisfied with any of the terms or conditions, you shall cease the use of the Platform immediately, failing which you shall be deemed to have consented to the Terms of Use as modified and/or varied from time to time.

 

  • Your continued use of the Platform, Products and/or Services or involvement thereof after notice of any change to the Terms of Use shall also be deemed to be your agreement to the amended Terms of Use.
  1. Information Submitted to Halo Go

 

  • Except for any personal and individually identifying information which we have agreed to keep confidential; any feedback, data, answers, questions, comments, suggestions, plans, ideas or the like that you send to us via the Platform, via email or otherwise, will be treated as being non-confidential and non-proprietary. We assume no obligation to protect such information from disclosure and will be free to reproduce, use, and distribute the information to others without restriction. We will also be free to use any ideas, concepts, know-how or techniques contained in the information that you send us for any purpose whatsoever including but not limited to developing, manufacturing and marketing products and services incorporating such information.



  1. Links/ Hyperlinks by Third Parties and Hyperlinks to Third Party Website

 

  • The Platform may contain links and/or hyperlinks to third parties’ website which are neither owned nor controlled by Halo Go. Halo Go has no control over and shall not be responsible for any of the content, privacy policies, or security practices of the third party website, and shall not be liable for any loss or damage of any kind incurred in connection with the third party website. Additionally, Halo Go is not responsible to investigate, remove, monitor, censor or revise the content of any third party website.

 

  • You hereby acknowledge that by using/accessing the Platform, you expressly relieve Halo Go from any and/or all liabilities arising from your use of any third party website. Consequently, Halo Go strongly encourages you to be conscious by reading the Terms of Use and Privacy Notice before you leave the Platform and visit the third party’s website, otherwise bear in mind you do so at your own risk.

 

  • You agree that caching, hyperlinking to, and framing of the Platform or any of the contents are strictly prohibited.

 

  • Halo Go reserves all rights to disable any links to, or frames of any Platform containing inappropriate, profane, defamatory, infringing, obscene, indecent or unlawful topics, names, material or information, or material or information that violates any written law, any applicable intellectual property, proprietary, privacy or publicity rights.

 

  1. Indemnity

 

  • You agree to fully indemnify, defend and hold harmless Halo Go, its directors, officers, employees, suppliers, licensors, agents, and any third party content providers, from and against any losses, damages, claims, costs, expenses, demands, and/or actions, due to or arising out of your use of the Platform, your access or connection to the Platform, your violation of these Terms of Use, or your violation of any rights of another. Halo Go reserves the right to assume the defense and control of any matter subject to indemnification by you, in which event you will cooperate with Halo Go in asserting any available defenses.

 

  • Further, you shall indemnify and save harmless Halo Go against and from all claims, proceedings, damages, costs and expenses which may be brought against Halo Go or to which he may be subjected to by reason of you infringing or being held to have infringed any intellectual property rights.

 

  • Halo Go shall not be liable in any way to you whether in contract, tort (including negligence or breach of statutory duty) or otherwise for any loss, damage or liability incurred or sustained by you caused by or as a result of:

 

  1. any failure, delay, interruption to or disruption of the Platform in the transmission or reception of any data through the Platform, howsoever caused or arising;
  2. any loss, corruption or deletion of any data or information transmitted to or stored in any system or equipment, howsoever caused or arising;
  3. a Force Majeure event;
  4. the disclosure and/or publication by Halo Go of any information or data relating to you, howsoever caused or arising;
  5. the use in any manner and/or for any purpose whatsoever by any person at any time whatsoever and from time to time of any information or data relating to you through the use of the Platform; and/or
  6. any unavoidable error, omission or inaccuracy in any information provided by Halo Go whether to you or any person and whether in any publication or as part of or in connection with the Platform or otherwise.

 

 

  1. Disclaimer of Warranties

 

  • You acknowledge and agree that the Services are provided on an “as is”, “as available” and “best effort” basis, and that your use of or reliance upon the Services and any content, Products or Services accessed or obtained thereby is at your sole risk and discretion.

 

  • Halo Go undertakes to provide and ensure that the Services on the Platform be performed on “best effort” basis, however, failing which Halo Go shall not be held liable by any party. The Services provided by Halo Go pursuant to this clause shall include but not be limited to:

 

  1. ensuring that the use of the Services will be secure, timely, uninterrupted or error free or that the Services will be compatible or operate in combination with any other hardware, software, system or data;
  2. ensuring errors or defects in the Services will be corrected; and/or
  3. ensuring that the Services and our server(s) are free of viruses or other harmful components.

 

  • All conditions, representations and warranties, whether express, implied, statutory or otherwise, including without limitation to (where applicable) any implied warranties of merchantability, fitness for a particular purpose, and non-infringement, are hereby excluded and disclaimed by Halo Go to the fullest extent permitted under the law.

 

  • The Services may be subject to limitations, delays, and other problems inherent in the use of the Internet and electronic communications (including problems inherent to the computer or electronic device you use). Halo Go is not responsible for any delays, delivery failures, damages, or losses resulting from such problems.

 

  • No advice or information, whether oral or written, obtained by you from us or from the Services shall create any representation, warranty or guarantee.

 

  • Halo Go disclaims any and all liability or responsibility in relation to the Services made available through the Platform, including but not limited to the third party’s content and services. Halo Go is not responsible or liable in any manner for any third party’s content and services associated with or utilised in connection with the Services, including the failure of such third party’s content and services provided by our merchants.

 

  • Halo Go shall have the right at any time, without prior notice, to change, modify, correct, add to, discontinue, and/or retire any aspect or feature of the Platform, Products and/or the Services, including, but not limited to, hours of availability, equipment needed for access or use, or the availability of the Services (or any part thereof) on any particular device or communications services. Halo Go is under no obligation to provide you with any support, error corrections, updates, upgrades, bug fixes, and/or enhancements of your own use of the Platform and/or the Services.

 

 

  1. Limitation of Liability

 

  • You expressly understand and agree that:

 

  1. Halo Go provides the usage of the Platform on an “as is”, “as available” and “best effort” basis;
  2. Halo Go makes no warranties of any kind, whether express, implied, statutory or otherwise with respect to the information collected for or provided to you under this agreement or the Platform;
  3. Halo Go does not assume any legal liability or responsibility for the accuracy, completeness, or usefulness of any information, apparatus, product or process disclosed on the Platform or other contents accessible from the Platform;
  4. to the full extent permissible by applicable law, Halo Go disclaims all warranties, express, implied, statutory or otherwise, regarding or relating to the use of the Platform;
  5. to the full extent permissible by applicable law, (where applicable) Halo Go specifically disclaims any implied warranties of merchantability, fitness for a particular purpose, non-infringement, or error-free or uninterrupted usage of the Platform; and
  6. in no event shall Halo Go be liable for any incidental, consequential, direct, indirect or any losses or damages whatsoever (including, but not limited to, loss or corruption of data, loss of profits, Goodwill, bargain or opportunity or loss of anticipated savings, or business interruption, or any other loss, whether in an action of contract, negligence or other tortious action), arising out of or in connection with the use of or inability to use the Platform, delays, inaccuracies or errors in the information or in the transmission of the Platform, or any information or transactions provided on or over the Platform or downloaded or hyperlinked from the Platform, or performance of the contents on this Platform, even if Halo Go has been advised of the possibility of such damages.

 

  • In the event that you purchase any Products from the Platform, where applicable, Halo Go shall transfer to you such manufacturer’s warranties as may be capable of transfer to you. You agree that this shall constitute your sole and exclusive remedy and Halo Go’s sole and exclusive liability in respect of any defects, faults or failure in or of such equipment. All implied or statutory warranties and all other warranties implied by law as to merchantability, quality or fitness for a particular purpose, or otherwise arising from course of dealing or usage of trade or any other express or implied warranties or representations are excluded.

 

  • Neither Halo Go, nor any affiliate, officer, director, employee, attorney, or agent of Halo Go shall have any obligation nor the responsibility with respect to, and you hereby waive, release, and agree not to sue any of us upon, any claim for any special, indirect, incidental, or consequential damages suffered or incurred by you in connection with, arising out of, or in any way related to, these Terms of Use or any of the transactions contemplated herein.

 

  • Further, you hereby expressly waive, release, and agree not to sue Halo Go or any affiliates, officers, directors, employees, attorneys, or agents for punitive damages in respect of any claim in connection with, arising out of, or in any way related to, these Terms of Use or any of the transactions contemplated herein.   



  1. Intellectual Property Rights

 

  • The content (including, but not limited to, information, communications, software, images and sounds contained on or available through the Platform) is provided by Halo Go, its content providers and third parties licensors. The intellectual property rights to or over the contents contained in each Platform shall vest in and solely belong to Halo Go, its content providers and/or third parties licensors. All rights are reserved. The contents of the Platform cannot be reproduced, modified, transferred, distributed, republished, downloaded, posted or transmitted in any form or by any means including but not limited to electronic, mechanical photocopying or recording without the prior written permission of Halo Go. You agree that the materials and contents contained within or provided by the Platform is for your own personal use only and may not be distributed commercially to any other third party.

 

  • Your access to or use of the Platform should not be construed as granting, by implication, estoppel or otherwise, any license or right to use the trademarks, tradenames, logos or service marks appearing on the Platform without Halo Go’s prior written consent. You shall not use any of such trademarks, tradenames, logos or service marks in any manner without Halo Go’s prior written consent.

 

  • You shall indemnify Halo Go from and against all claims, proceedings, damages, costs and expenses which may be brought against Halo Go as a result of the use of such intellectual property rights or infringement by Halo Go of the same.

 

  • All softwares used on this Platform is the property of Halo Go or its software licensors and is protected by the relevant copyright laws. You may not modify, translate, decompile, disassemble, reverse engineer or otherwise attempt to derive the source code for the computer systems and other technology that operate the Platform or create derivative works based on the Platform. For the purposes of these Terms of Use, “reverse engineering” shall include the examination or analysis of the Platform to determine the source code, structure, organization, internal design, algorithms or encryption devices/items of the Platform’s underlying technology. You agree not to circumvent any technology used by Halo Go or its licensors to protect content accessible via the Service.

 

 

  1. Availability

 

  • Halo Go may change, suspend, or terminate all or any part of usage of the Platform, the access or availability of the Product website/link, at any time, with or without reason and without prior notice.

 

  • You acknowledge that the operation of Halo Go may from time to time encounter technical or other problems and may not necessarily continue uninterrupted or without technical or other errors. Halo Go shall not be responsible to you or others for any such interruptions, errors or problems or an outright discontinuance of the Platform or the specific Product website/link.

 

  • Pursuant to clause 12.1, causes for such termination shall include, but not be limited to the following events:

 

  1. requests by law enforcement or other Government agencies;
  2. discontinuance of any or all part of the Platform as decided by Halo Go;
  3. unexpected technical or security issues or interruption, disruption or congestion problems of the Platform;
  4. you have engaged in fraudulent or illegal activities;
  5. your access or use in connection with or for the purposes of any activities on the Platform, which would or may cause any irritation, annoyance, embarrassment, harassment, disturbance or nuisance of any kind whatsoever to or otherwise be prejudicial to the interests of Halo Go or any person;
  6. you have breached any of the Terms of Use herein; and/or
  7. you have perpetrated a fraud on the Platform or has conducted yourself in a manner which may result in perpetrating (or which, in the opinion of Halo Go, constitutes and attempt to perpetrate) a fraud on Halo Go or the Platform.

 

  • You agree to fully indemnify Halo Go and its stakeholders from any losses arise as a result of unavailability of access to the Services and/or Platform.



  1. Governing Law and Jurisdiction

 

  • Any agreements created between you and Halo Go via this Platform will be deemed to have been made in Malaysia only and shall be governed and construed according to the laws of Malaysia. Any disputes or proceedings shall be subject to the exclusive jurisdiction of the Courts of Malaysia.

 

 

  1. Waiver

 

  • Halo Go’s failure to insist upon or enforce strict performance of any provision of these Terms of Use shall not be construed as a waiver of any provisions or rights.

 

  • These Terms of Use are for the benefit of Halo Go and its directors, officers, employees, suppliers, licensors, agents, and any third party content providers to the Platform. Each of these individuals or entities shall have the right to assert and enforce those provisions directly against you on its own behalf.

 

 

  1. Severability

 

  • If any of these Terms of Use are held to be illegal, unenforceable or invalid under present or future laws or regulations effective and applicable during the term of this Platform, such Terms of Use shall be fully severable and shall be construed as if such illegal or invalid Terms of Use had never comprised as part of the Platform and the remaining Terms of Use in the Platform shall remain in full force and effect and shall not be affected by the illegal or invalid Terms of Use or by its severance from the Platform.

 

  1. Terms & Conditions applicable to Third Party Products & Services

 

  • All third party’s products and services (“Third Party Services”) are deemed provided to you solely and independently by manufacturer or vendor (“Vendor”) and all queries, technical support requests, complaints and/or other issues arising out of or in relation to the Third Party Services shall be forwarded to the Vendor or its call centre. The Third Party Servicesare provided on an “as is” basis. Halo Go, and their respective related and/or affiliated companies, disclaim and exclude all warranties (relating to the content, information, services relating to or in connection with the Third Party Services and/or as provided by the Vendor including but not limited to, all warranties of merchantability, fitness for a particular purpose, title, non-infringement, compatibility, security and accuracy) and all liability to you or anyone else (for any loss or injury or any direct, indirect, special, exemplary, consequential damages, or any damages whatsoever including but not limited to loss of use, data, revenue or profits, whether in action of contract, negligence or other tortious action, arising out of or in connection with your application, the Third Party Services and/or the Vendor).



  1. Unidentified Third Party’s Products and Services

 

  • You acknowledge and agree that Halo Go is not responsible for the availability of any unidentified third party products and services or what you access through the Platform. Halo Go shall not be held responsible or liable for any content, advertising, products or services available from such unidentified third parties. Any dealings between you and any unidentified third party advertisers or merchants found on or via the Platform, including payment for and delivery of products, services and any other terms, conditions, warranties or representations associated with such dealings, are made between you and the relevant advertiser or merchant. Therefore, Halo Go is not responsible or liable for any loss or damage of any kind incurred as the result of any such dealings.

 

  • Halo Go accepts no liability or responsibility for any of the unidentified third party bookings, products and services provided by such third party suppliers.

If you do not agree with these Terms and Conditions, you should cease using the Platform immediately. In the event of conflicts or inconsistencies between these Terms and Conditions and the Terms of Use of Halo Go Lifestyle, these terms and conditions shall prevail.

The usage of specific Products and Services offered on the Platform shall be governed by the terms and conditions of such Product and Services. These Terms and Conditions shall be read together with the terms and conditions of such Product and Services, Halo Go Lifestyle’s Terms of Use and Privacy Notice.

General Use and Definition

Kindly read these Terms and Conditions carefully before using and/or accessing the Platform. By using and/or accessing the Platform, you hereby signify your agreement to be bound by these Terms and Conditions. If you disagree, kindly discontinue to use or access the Platform.

Further, the below words and expressions shall have the following respective meanings:

“Force Majeure”

 

means an act, omission or circumstances relied on by one of the parties to the agreement as a force majeure event and over which that party could not reasonably have exercised control including but not limited to failure, shortage or interruption of electrical power or supply, riots or civil commotion, strikes, lock outs or trade or labour disputes or disturbances, plague, epidemic or quarantine, pandemic, fire, flood, drought or acts of any Government or sovereign, change in any Law, acts of war or terrorism (whether real or perceived), inclement or extreme weather conditions and acts of God. An event or act shall not be excused or delayed by Force Majeure if it could not reasonably be circumvented through use of alternative sources, work around plans or other means as may be agreed between the parties.

 

“Governing Law”

means the terms & conditions stipulated in the Platform shall be governed and construed in accordance with the laws of Malaysia to the extent that if any matters arising or incidental to these terms & conditions should be subject to the laws of Malaysia.

 

“Product”

means any product or service offered or provided by Halo Go within any of its website, either at the present or hereafter.

 

“Service”

means all and any of the services provided by Halo Go via the Platform, including but not limited to the information services, content and transaction capabilities on the Platform and the availability to make a Purchase.

 

“Customer”

 

means the end user of the Products.

“Taxes”

means all taxes (including financial charges, goods and services taxes, sale and service taxes imposed by the Government), dues, duties, levies, and other related charges (any related interest and penalties) required/imposed under any law of any jurisdiction in Malaysia with respect to the prices of the Product payable to Halo Go.

 

“User”

 

means all the users of the Platform, regardless of the type.

“You”

means yourself as a user of the Platform.

 

Any words and expressions used herein other than not otherwise defined in the Definition clause shall be interpreted in accordance with the standard practices of operation.

Any words importing the singular include the plural and vice versa where the context requires.

  1. Account

 

  • To use the Services, you need to download the Platform on your mobile device and create an account.

 

  • For registration as a new User, you are required to provide your email address, contact number and a unique password for successful registration. You are also required to set a six (6) digit pin number which shall act as an authorization for any transactions performed in the Platform.

 

  • If you are an existing Halo Go Application’s user that intends to link and use the same login credentials as your login credentials for Halo Go Application, you may do so by providing the same login credentials in the Platform. However, this feature shall only be available on a certain period of time only as determined by Halo Go.

 

  • Upon successful registration, you will automatically have an account limit of Ringgit Malaysia Two Hundred (RM200.00) only. You may increase your account limit up to Ringgit Malaysia Five Thousand (RM5,000.00) only by completing the account verification process (“e-KYC”) in the Platform and you will be eligible to upgrade your membership accordingly.

 

  • In the event that you experience any issues with the e-KYC process, please contact our customer service for assistance.

 

  • You agree to provide, maintain and update true, accurate, and complete information about yourself as prompted by the registration processes. You may not impersonate any person or entity or misrepresent your identity or affiliation with any person or entity, including using another person’s username, password, or other account information.

 

  • When you create an account, you represent and warrant that:
  1. if you are representing a company, organization or any other legal entity (“Entity”), you have the authority to bind the Entity to these Terms of Use, and that the Entity is duly incorporated;
  2. you are capable of entering into and performing legally binding contracts under the applicable law;
  3. you are and will be legally, financially and morally responsible for all activities that occur under your Account; and
  4. all information provided by you are accurate, up to date, truthful and complete and that you will promptly inform us of any changes to such information by updating your account.
  • Your account must be registered with a valid personal email address that you access regularly, so that, among other things, administration emails can be sent to you. We may require you to validate your account during the registration of the account. Upon updating your email address in the Platform, you may amend your login credentials in the Platform.

 

  • Upon successful registration, you would have given Halo Go your consent to receive marketing offers and notification from time to time.

 

  • You agree not to share your account credentials or give others access to your account. In the event that we detect your account is being shared by multiple users, we may treat this as a security breach and will not hesitate to suspend or terminate your account. You are entirely responsible for maintaining the confidentiality of your password and your account. You are entirely responsible for all the actions or activities made by you or anyone that uses your account. You agree to safeguard your password from access by others.

 

  • It is your sole responsibility to keep your login credentials confidential. Halo Go will not be held responsible for any loss incurred due to your negligence and/or occurrence of unethical hacking and likewise. If you believe that your account has been compromised, you must immediately contact our customer service for assistance.

 

  • You agree to indemnify and hold harmless Halo Go for losses incurred by Halo Go or another party due to someone else using your account as a result of your failure to use reasonable precautions to safeguard your password and account.

 

  • If you are below the age of majority, you may only use the Services with the consent of and under the supervision of your parent or guardian who shall be responsible for all your activities.

 

  • You must ensure that your account is maintained to be active by performing a minimum of one (1) transaction within the period of two (2) years.

 

  • Due to security reasoning, in the event that your account is inactive for a continuous period of two (2) years, your account will be closed together with all functions including but not limited to referral, registration, incentive, vouchers, coupons, stocks, and credit.

 

  • Pursuant to Clause 1.15 above, you agree that Halo Go may consider allowing your account reactivation on a good will basis and does not guarantee a closed account can be recovered due to technical and security concern and you fully indemnify Halo Go and its stakeholders from any losses arise therein. In such event, you shall submit a request to our customer service within seven (7) days after your account is closed with a valid reasoning to request for your account reactivation subjected to the following conditions:
  1. for the first reactivation request, you will incur a penalty and/or processing fee which is payable to Halo Go before your account is reactivated; and
  2. for the second and subsequent reactivation requests, Halo Go will conduct a review on your previous activities in the Platform during the first reactivation period. Halo Go shall only approve your reactivation request if you have conducted a minimum of ten (10) transactions in the Platform during the first reactivation period, subjected to a penalty and/or processing fees charges.

 

  • You are only entitled to register one (1) account in the Platform. For avoidance of doubt, each email address can only be used for one (1) account. However, you may view and manage up to five (5) Halo Telco’s mobile numbers per NRIC in the Platform.

 

  • Halo Go reserves the right to terminate your account without notice if you are found to be attempting to register multiple accounts towards your personal interest without a valid reasoning, or using proxy Internet Protocols (IP) addresses in order to attempt to hide the use of multiple registration accounts or disrupts the Platform or the Services in any way.

 

  • Your account is non-transferable and shall not be assigned to any third party without Halo Go’s prior written consent.

 

  • You agree to never associate or link Halo Go and its stakeholders with any racial, religious, political, criminal, libelous or slanderous message or remark while using the Platform. In the event that you are found to be involved in such activities, Halo Go reserves the final right to permanently restrict or terminate your account without any notice and exercise legal actions.

 

 

  1. Membership

 

  • There are options to upgrade membership packages within the Platform. Each membership package comes with a set of offerings and rewards, which may vary from time-to-time due to availability and new products offering. The membership packages and the upgrade and downgrade reload amount are as specified below:

  • Upon successful registration of account, you will automatically enjoy the benefits provided for a Super Hero. You may upgrade your membership at any time and become a business user upon successful e-KYC process by purchasing the upgrade reload amount as stated in clause 2.1 above for the type of membership that you intend to join. Upon successful membership upgrade, you shall be automatically bound by the Terms and Conditions for Business Users.

 

  • Upon successful reload transaction pursuant to your membership upgrade amount, the amount of reload will be credited in your account as Coins and you will automatically enjoy the benefits offered in your new type of membership. You shall regularly check your membership status in the Platform from time to time to be aware of all the benefits offered for your type of membership.

 

  • Halo Go has set a minimum requirement of Coins reload amount for every type of membership which shall be the same amount as per the upgrade or downgrade amount stated in clause 2.1. You shall only be allowed to reload with the minimum amount as required by your membership ranking. In the event that you failed to adhere to the minimum amount of reload as required by your type of membership in your subsequent transaction after the membership upgrade, you will be notified on the membership downgrade options for you to choose the appropriate type of membership.

 

  • Any payments made for the membership upgrade or downgrade in the Platform shall be credited in your account as Coins upon successful membership upgrade or downgrade.

 

  • In the event that you upgraded or downgraded to another type of membership at any time, all the remaining Coins from your previous type of membership will remain in your account, but shall automatically be subjected to the new membership’s benefits.

 

  • Halo Go has the sole discretion to add, vary and/or discontinue any types of membership and/or the benefits offered for the memberships at any time, whether wholly or partially. In the event that Halo Go practices their discretion stated in this Clause 2.7, Halo Go shall inform you of their decision accordingly.



  1. Coins

 

  • Halo Go introduces Coins as a main currency in the Platform by which the Coins shall be used for all the transactions in the Platform, including but not limited to, to purchase the Products and/or Services offered in the Platform.

 

  • To purchase the Products and/or Services, you are required to perform a minimum amount of reload according to your type of membership. Upon successful reload, the amount of reload will automatically be credited in your account as Coins.

 

  • The Platform has a wallet account limit of Ringgit Malaysia Five Thousand (RM5,000.00) only.

 

  • In the event that your purchase of the Products and/or Services is unsuccessful for any reasons whatsoever, Halo Go will not deduct the Coins from your account. If a deduction occurs despite the unsuccessful purchase, the Coins will be reimbursed in your account automatically. Please contact our customer service for assistance if no reimbursement of Coins takes place within twenty-four (24) hours from the time of unsuccessful transaction.

 

  • Halo Go provides various payment methods for you to perform the reload transaction in the Platform, which includes but not be limited to:

 

  1. Credit card;
  2. Debit card;
  3. FPX; and
  4. e-Wallet applications.

 

  • Halo Go reserves the right at its own discretion to add or discontinue any payment methods stated in Clause 3.5 above. You will have the option to save your payment method for the subsequent transactions in the Platform.

 

  • Where applicable, Go Life Credits may also be used to purchase Coins. However, this transaction shall only be available in the Platform upon Halo Go’s notice.

 

  • Occasionally, you may receive Coins by way of promotions, referral and/or cashback activities as determined by Halo Go from time to time.

 

  • Unless otherwise stated, all payments made are strictly non-refundable nor exchangeable in any kind.

 

  • You confirm that the bank account, credit card, debit card and/or the e-Wallet that is being used for the payment belongs to you. In the event that you use a third party’s credit card, debit card and/or e-Wallet, kindly ensure the payment made by you to Halo Go is genuine. All credit/debit cardholders may be subject to validation checks and authorisation by the card issuer. If the issuer of your payment card refuses to or does not, for any reason, authorise payment to us, Halo Go will not be liable for any delay or non-delivery, and shall not be liable to reimburse, compensate or indemnify any party for fraudulent and deceitful act.

 

  • Halo Go shall exercise its discretionary right to reject any transactions if there is any suspicious or fraudulent attempt made by any party. Halo Go may decline to accept such orders for any reasons, including but not limited to, failure of the Company to meet credit check, unavailability of the Products or Services, and products or pricing errors.

 

  • You hereby agree and acknowledge that, unless expressly stated otherwise, all Coins within your account will expire in two (2) years from the date of the reload performed, of which if the Coins are not used upon its expiry date, will be forfeited and you fully indemnify Halo Go from any losses caused. In the event that you intend to reactivate the expired Coins in your account, you shall submit a request to our customer service within seven (7) days from the date of Coins expiry with a valid reasoning to request for the Coins reactivation subjected to the following conditions:
  1. For the first reactivation request, you will incur a penalty and/or processing fee which shall be paid to Halo Go before your account is reactivated; and
  2. For the second and subsequent reactivation requests, Halo Go will conduct a review on your previous activities in the Platform during the first reactivation period. Halo Go shall only approve your reactivation request if you have conducted a minimum of ten (10) transactions in the Platform during the first reactivation period, subjected to a penalty and/or processing fees charges.

 

  • Coins are strictly non-refundable and not exchangeable to cash or any kind, unless specifically stated otherwise.

 

  1. Transaction History and Statement

 

  • You may view your monthly statement and/or transaction history up until ninety (90) days in your account at any time. If you intend to view your transaction history after ninety (90) days, you shall contact our customer service for assistance. You should regularly review your monthly statement and transaction history to ensure that there have not been any unauthorized transactions. In the event that you discovered any unauthorized transactions in your account, kindly contact our customer service for assistance.

 

  1. Fees, Charges, Payment Terms, Interest and Taxes 

 

  • All payments under these Terms and Conditions shall be made payable in Ringgit Malaysia (RM) only.

 

  • Unless otherwise stated, all prices, fees, charges, interests and/or Taxes are accurate at the time of entering the information onto the Platform. The total cost of your purchase is the price of the Product and/or Service which may or may not be inclusive of any applicable Taxes, fees and/or interests.

 

  • Unless otherwise stated, all payments made are strictly not refundable nor exchangeable in any kind.

 

  • Despite our best efforts, occasionally the Platform may experience system errors (“Errors”) which includes but not limited to:
  1. incorrectly priced Products and/or Services;
  2. incorrect deductions of amount of purchase and/or transactions;
  3. miscalculation of any payment, charges, fees, interest, taxes or prices; and
  4. miscalculation of errors in any rewards and amount of rewards or incentives credited in your account.

 

  • In the event that any of these Errors occur, Halo Go has the sole discretion to determine, amend, vary, revoke and/or revise the Errors. Halo Go reserves the right to request from you, within a reasonable time, to reimburse to Halo Go any amount of monies which was incorrectly paid by Halo Go to you due to the Error. If the transaction was conducted in the form of Credit in your account, Halo Go has the right to deduct your Credit balance to remedy the Error upon a written notice on such deduction. In the event that the Credit balance in your account is insufficient for the deduction, Halo Go shall deduct the credit from your account in the corresponding month’s Credit balance, or reject any use or withdrawal of your Credit in the corresponding months until the total amount of Credit due has been reimbursed.  

 

  • Halo Go does not withhold income taxes payable to the Governing Bodies and is not liable to any compensation or obligation with your income taxes (if any). You shall bear the sole responsibility in declaring and paying your obligation for income taxes including all credit earnings, prizes and benefits-in-kind received from Halo Go.



  1. Sale & Purchase of Product

 

  • You agree that the Products and Services made available and sold in the Platform may have an expiry date. In the event that the Products are not utilized and/or consumed upon expiration, you shall fully indemnify Halo Go for the losses caused as a result (if any) and acknowledge that it is strictly a no exchange and no refund sale policy.

 

  • In the event that Halo Go conducts a recall and/or compensation exercise, Halo Go endeavor to publish a notice for the exercise and all returns must be completed within the stipulated time in the published notice.

 

  • You agree to be accountable for any risks of the Products and/or Services, if any, from the time of successful purchase transaction of the Products and/or Services. Upon successful transaction, you shall check and verify that the Products and/or Services are accurate and complete as per what you have purchased. Notwithstanding Clauses 5.4 and 5.5 above, in the event that you notice any issues or have any complaints about the transaction, which includes but not be limited to issues on the amount deducted or charged for the purchase or issues with regards to the Products and/or Services received, you shall contact our customer service for assistance within twenty-four (24) hours from the date of the transaction. In the event that you notice any issues or have any complaints about the Products and/or Services received, you are required to notify Halo Go of any issues or complaints in writing accompanied by proofs of the Product and/or Services within twenty-four (24) hours from the date of the receipt of the Products and/or Services, failing which no further claims can be made nor will be entertained by Halo Go. Once the twenty-four (24) hours period has lapsed, you shall be deemed to have accepted the Products and/or Services and Halo Go shall not in any way be accountable or responsible for any issues. For avoidance of doubt, the issues and/or complaints mentioned in this clause shall include any issues during or after the purchase transaction regarding the system and/or the Products and Services purchased.

 

  • Halo Go shall have the discretion and right to make the relevant checks or calls to any party at any time for verification purposes for any purchases made in the Platform. In the event Halo Go is unable to perform the verification (without fault on Halo Go’s side) or the verification is unsuccessful in establishing the relevant party’s identity, Halo Go reserves the right to cancel and/or withhold the delivery of the Product.

 

  • We may ask for additional personal data, if necessary, for the purposes of verification of your identity or fraud prevention purposes.

 

  • In the event that you are found to be conducting any fraudulent activities with regards to the sale and purchase of the Products and/or Services or the use of the Platform, Halo Go reserves the right to proceed with any further actions against you, including but not limited to imposing a fee or penalty, suspension or termination of your use of the Platform, and/or take any legal actions against you, of which actions shall not be prejudicial to any parties’ rights.

 

 

  1. Referral, Marketing and Rewards (Where Applicable)

 

  • Halo Go conducts a referral program where you shall be entitled to get rewards if you share your referral codes to prospective Users. Halo Go provides a referral link sharing service to ease referral of Products and Services to prospective Users. Upon sharing of the referral code and successful registration of the prospective User, the rewards shall be granted to you in your account within the stipulated time.

 

  • Halo Go also conducts marketing and rewards program for the Users from time to time which shall entitle the Users to obtain rewards if they fulfil the requirements of the specific program. The marketing and rewards program shall include but not be limited to rewards for lucky draws, contests, promotions and campaigns. The details and requirements of the programs shall be governed by the terms and conditions of such program.

 

  • Should the reward is granted in the form of Go Life Credits or Coins, the reward amount will be granted to the User’s account. User must ensure that their account is active during the time of granting of Credits or Coins to avoid failure of transaction. Should the reward is in physical form, the User can arrange for self-collection at Halo Go. For delivery of rewards, delivery charges may be applied to the User.

 

  1. Amendments

 

  • Halo Go reserves its rights to alter or otherwise vary these Terms and Conditions at any time and shall provide you notice thereof by email or by publishing the change of terms on the Platform or by other reasonable means. It is your responsibility to regularly check the Platform to determine if there have been changes to the Terms and Conditions and to review such changes. Should you be dissatisfied with any terms or conditions, you shall cease the use of the Platform immediately, failing which you shall be deemed to have consented to the Terms and Conditions as modified and/or varied from time to time.

 

  • Your continued use of the Platform, Products and/or Services or involvement thereof after notice of any change to the Terms & Conditions shall also be deemed to be your agreement to the amended Terms & Conditions.



  1. Acts of Defamation and Violation of Terms

 

  • You agree that if you are found to be involved in activities violating the instructions provided by Halo Go with regards to the use of the Platform, Products and/or Services, including but not limited to suspected fraudulent act in your account registration and/or purchases, does not abide to these Terms and Conditions, does not abide to any other terms & conditions related to the Platform, Products and/or Services, does not abide to the Privacy Notice of Halo Go, involved in acts of immorality and/or defamation to the Halo Go brand and/or to any stakeholders of Halo Go, your account will be indefinitely frozen from access without any form of notice and a related public notice will be published.

 

  • Halo Go reserves the right to proceed with any further actions against you in the event that you are found to be conducting any of the activities mentioned in Clause 9.1 above, including but not limited to imposing a fee or penalty, suspension or termination of your use of the Platform, and/or take any legal actions against you, of which actions shall not be prejudicial to any parties’ rights.

 

  • Pursuant to Clause 9.1, all services including but not be limited to reload and purchase transactions, entitlement to incentives, rewards, Credits, promotions, campaigns and withdrawal of Credits will be disabled until your account is proven otherwise. Halo Go, in its sole discretion, may also suspend your use of other Halo Go’s websites, mobile applications and/or any other services belonging to Halo Go which includes but not limited to the following platforms:
  1. HaloGo Application;
  2. HaloGo Corporate (where applicable);
  3. HaloGo Lifestyle; and
  4. any other Halo Go’s platforms as determined by Halo Go from time to time.

 

  • All Services and entitlement will resume should your account is released.

 

  1. Inheritance and beneficiary

 

  • You agree that your account in the Platform is strictly non-transferrable. You agree that your Platform’s account can be inherited only to the closest family members and it is the sole responsibility of the member to provide beneficiary information and to ensure all information of beneficiary is correct and accurate at all times. You agree that in the event that a will is executed, the terms stated in the will overrides the beneficiary information provided in your account.

 

  • It is the sole responsibility of the beneficiary of the inherited User’s account to report any incentive earned through the User’s account to the Governing bodies. 



  1. Information Submitted to Halo Go
    • Except for any personal and individually identifying information which we have agreed to keep confidential; any feedback, data, answers, questions, comments, suggestions, plans, ideas or the like that you send to us via the Platform, via email or otherwise, will be treated as being non-confidential and non-proprietary. We assume no obligation to protect such information from disclosure and will be free to reproduce, use, and distribute the information to others without restriction. We will also be free to use any ideas, concepts, know-how or techniques contained in information that you send us for any purpose whatsoever including but not limited to developing, manufacturing and marketing products and services incorporating such information.



  1. Anti-Money Laundering, Anti-Terrorism Financing and Proceeds of Unlawful Activities Act 2001 (AMLATFPUAA) & Financial Services Act 2013 (FSA)

 

  • Halo Go and its related companies undertake to adhere and comply to all applicable laws, guidelines, rules, regulations, policies and the like relating to AMLATFPUAA in all activities pursuant to the purposes of this Platform.

 

  • Halo Go undertakes to use, manage and disclose all the documents and/or information collected from you relating to the Services provided in this Platform, in accordance with the Financial Services Act 2013 (FSA).

 

 

  1. Indemnity

 

  • You agree to fully indemnify, defend and hold harmless Halo Go, its directors, officers, employees, suppliers, licensors, agents, and any third party content providers, from and against any losses, damages, claims, costs, expenses, demands, and actions, due to or arising out of your use of the Platform, your access or connection to the Platform, your violation of these Terms and Conditions, or your violation of any rights of another. Halo Go reserves the right to assume the defense and control of any matter subject to indemnification by you, in which event you will cooperate with Halo Go in asserting any available defenses.

 

  • Further, you shall indemnify and save harmless Halo Go against and from all claims, proceedings, damages, costs and expenses which may be brought against Halo Go or to which he may be subjected to by reason of you infringing or being held to have infringed any intellectual property rights.

 

  • Halo Go shall not be liable in any way to you whether in contract, tort (including negligence or breach of statutory duty) or otherwise for any loss, damage or liability incurred or sustained by you caused by or as a result of:

 

  1. any failure, delay, interruption to or disruption of the Platform in the transmission or reception of any data through the Platform, howsoever caused or arising;
  2. any loss, corruption or deletion of any data or information transmitted to or stored in any system or equipment, howsoever caused or arising;
  3. a Force Majeure event;
  4. the disclosure and/or publication by Halo Go of any information or data relating to you, howsoever caused or arising;
  5. the use in any manner and/or for any purpose whatsoever by any person at any time whatsoever and from time to time of any information or data relating to you through the use of the Platform; and/or
  6. any unavoidable error, omission or inaccuracy in any information provided by Halo Go whether to you or any person and whether in any publication or as part of or in connection with the Platform or otherwise.



  • Governing Law and Jurisdiction

 

  • Any agreements created between you and Halo Go via this Platform will be deemed to have been made in Malaysia only and shall be governed and construed according to the laws of Malaysia. Any disputes or proceedings shall be subject to the exclusive jurisdiction of the Courts of Malaysia.

 

  • Halo Go’s failure to insist upon or enforce strict performance of any provision of these Terms shall not be construed as a waiver of any provision or right.

 

  • If any part of these Terms and Conditions are held to be unenforceable, the unenforceable part shall be given effect to the greatest extent possible and the remainder will remain in full force and effect.

 

  • Any part of these Terms and Conditions that is invalid, unenforceable or illegal shall be enforced as nearly as possible in accordance with its terms, but shall otherwise be deemed severed and shall not affect the enforceability of any other part of the these Terms and Conditions, which shall continue to be valid and enforceable to the fullest extent permitted by law.

 

  • These Terms and Conditions are for the benefit of Halo Go and its directors, officers, employees, suppliers, licensors, agents, and any third party content providers to the Platform. Each of these individuals or entities shall have the right to assert and enforce those provisions directly against you on its own behalf.

 

 

  • Severability

 

  • If any of these Terms & Conditions in the Platform is held to be illegal or invalid under present or future laws or regulations effective and applicable during the term of this Platform, such Terms & Conditions shall be fully severable and shall be construed as if such illegal or invalid Terms & Conditions had never comprised as part of the Platform and the remaining Terms & Conditions in the Platform shall remain in full force and effect and shall not be affected by the illegal or invalid Terms & Conditions or by its severance from the Platform.

  • The primary responsibility for the observance of the Terms & Conditions and Privacy Notice shall rest with each User. You agree to indemnify and relieve Halo Go and its related parties including but not limited to its directors, officers, employees, suppliers, licensors, agents, and any third party providers from and against all claims, proceedings, damages, costs and expense which may be brought against them as a result of your breach in any of the Terms & Conditions. Terms and Conditions of Halo Go Lifestyle for Business Users.

These Terms and Conditions of Halo Go Lifestyle for Business Users (“Terms and Conditions”) govern your use of the Halo Go Lifestyle Platform (“Platform”), unless otherwise stated, to your use of any other services, including website, mobile application, our application programming interfaces (APIs) owned or operated by Halo Go or operated on behalf of Halo Go (collectively the “Platform”). This Platform is owned and operated by Winner Venture Sdn Bhd (Company No.: 201801023401 (1285421-A)) (“Winner Venture”, “Halo Go”, “Halo Telco”, “Company”, “us”, “we”, or “our”). Please read these Terms and Conditions carefully before using the Platform. We may modify these Terms and Conditions at any time at our sole discretion, and such modifications shall be effective immediately upon posting of the modified Terms and Conditions. You agree to review the Terms and Conditions periodically to be aware of such modifications and your continued access to or use of the Platform shall be deemed your conclusive acceptance of the modified Terms and Conditions. Halo Go reserves the right at its absolute discretion to vary, delete or add any of the clauses in this Terms and Conditions from time to time without prior notice. If you do not agree with these Terms and Conditions, you should cease using the Platform immediately. In the event of conflicts or inconsistencies between these Terms and Conditions and the Terms of Use of Halo Go Lifestyle, these terms and conditions shall prevail.

The usage of specific Products and Services offered on the Platform shall be governed by the terms and conditions of such Product and Services. These Terms and Conditions shall be read together with the terms and conditions of such Product and Services, Halo Go Lifestyle’s Terms of Use and Privacy Notice.

General Use and Definition

Kindly read these Terms and Conditions carefully before using and/or accessing the Platform. By using and/or accessing the Platform, you hereby signify your agreement to be bound by these Terms and Conditions. If you disagree, kindly discontinue to use or access the Platform.

Further, the below words and expressions shall have the following respective meanings:

e-KYC

means the account verification process which shall be completed by every User to enjoy further benefits of the memberships.

 

“Force Majeure”

 

means an act, omission or circumstances relied on by one of the parties to the agreement as a force majeure event and over which that party could not reasonably have exercised control including but not limited to failure, shortage or interruption of electrical power or supply, riots or civil commotion, strikes, lock outs or trade or labour disputes or disturbances, plague, epidemic or quarantine, pandemic, fire, flood, drought or acts of any Government or sovereign, change in any Law, acts of war or terrorism (whether real or perceived), inclement or extreme weather conditions and acts of God. An event or act shall not be excused or delayed by Force Majeure if it could not reasonably be circumvented through use of alternative sources, work around plans or other means as may be agreed between the parties.

 

“Go Life Credit” or “Credit”

means the incentive given by Halo Go to the business users when the business users and/or their downlines purchase any Products and/or Services in the Platform.

 

“Governing Law”

means the terms & conditions stipulated in the Platform shall be governed and construed in accordance with the laws of Malaysia to the extent that if any matters arising or incidental to these terms & conditions should be subject to the laws of Malaysia.

 

“Hero Membership” or “Membership”

means the types of membership offered for the Users when they have successfully performed the e-KYC process.

 

“Product”

means any product or service offered or provided by Halo Go within any of its website, either at the present or hereafter.

 

“Service”

means all and any of the services provided by Halo Go via the Platform, including but not limited to the information services, content and transaction capabilities on the Platform and the availability to make a Purchase.

 

“Customer”

 

means the end user of the Products.

“Taxes”

means all taxes (including financial charges, goods and services taxes, sale and service taxes imposed by the Government), dues, duties, levies, and other related charges (any related interest and penalties) required/imposed under any law of any jurisdiction in Malaysia with respect to the prices of the Product payable to Halo Go.

 

“User”

 

means the users of the Platform.

“You”

means yourself as a business user of the Platform.

 

Any words and expressions used herein other than not otherwise defined in the Definition clause shall be interpreted in accordance with the standard practices of operation.

Any words importing the singular include the plural and vice versa where the context requires.

 

  1. Account

 

  • To use the Services, you need to download the Platform on your mobile device and create an account.

 

  • For registration as a new User, you are required to provide your email address, contact number and a unique password for successful registration. You are also required to set a six (6) digit pin number which shall act as an authorization for any transactions performed in the Platform.

 

  • If you are an existing Halo Go Application’s user that intends to link and use the same login credentials as your login credentials for Halo Go Application, you may do so by providing the same login credentials in the Platform. However, this feature shall only be available on a certain period of time only as determined by Halo Go.

 

  • Upon successful registration, you will automatically have an account limit of Ringgit Malaysia Two Hundred (RM200.00) only. You may increase your account limit up to Ringgit Malaysia Five Thousand (RM5,000.00) only by completing the account verification process (“e-KYC”) in the Platform and you will be eligible to upgrade your membership accordingly.

 

  • In the event that you experience any issues with the e-KYC process, please contact our customer service for assistance.

 

  • You agree to provide, maintain and update true, accurate, and complete information about yourself as prompted by the registration processes. You may not impersonate any person or entity or misrepresent your identity or affiliation with any person or entity, including using another person’s username, password, or other account information.

 

  • When you create an account, you represent and warrant that:
  1. if you are representing a company, organization or any other legal entity (“Entity”), you have the authority to bind the Entity to these Terms of Use, and that the Entity is duly incorporated;
  2. you are capable of entering into and performing legally binding contracts under the applicable law;
  3. you are and will be legally, financially and morally responsible for all activities that occur under your account; and
  4. all information provided by you are accurate, up to date, truthful and complete and that you will promptly inform us of any changes to such information by updating your account.
  • Your account must be registered with a valid personal email address that you access regularly, so that, among other things, administration emails can be sent to you. We may require you to validate your account during the registration of the account. Upon updating your email address in the Platform, you may amend your login credentials in the Platform.

 

  • Upon successful registration, you would have given Halo Go your consent to receive marketing offers and notification from time to time.

 

  • You agree not to share your account credentials or give others access to your account. In the event that we detect your account is being shared by multiple users, we may treat this as a security breach and will not hesitate to suspend or terminate your account. You are entirely responsible for maintaining the confidentiality of your password and your account. You are entirely responsible for all the actions or activities made by you or anyone that uses your account. You agree to safeguard your password from access by others.

 

  • It is your sole responsibility to keep your login credentials confidential. Halo Go will not be held responsible for any loss incurred due to your negligence and/or occurrence of unethical hacking and likewise. If you believe that your account has been compromised, you must immediately contact our customer service for assistance.

 

  • You agree to indemnify and hold harmless Halo Go for losses incurred by Halo Go or another party due to someone else using your account as a result of your failure to use reasonable precautions to safeguard your password and account.

 

  • If you are below the age of majority, you may only use the Services with the consent of and under the supervision of your parent or guardian who shall be responsible for all your activities.

 

  • You must ensure that your account is maintained to be active by performing a minimum of one (1) transaction within the period of two (2) years.

 

  • Due to security reasoning, in the event that your account is inactive for a continuous period of two (2) years, your account will be closed together with all functions including but not limited to referral, registration, incentive, vouchers, coupons, stocks, and credit.

 

  • Pursuant to Clause 1.15 above, you agree that Halo Go may consider allowing your account reactivation on a good will basis and does not guarantee a closed account can be recovered due to technical and security concern and you fully indemnify Halo Go and its stakeholders from any losses arise therein. In such event, you shall submit a request to our customer service within seven (7) days after your account is closed with a valid reasoning to request for your account reactivation subjected to the following conditions:
  1. for the first reactivation request, you will incur a penalty and/or processing fee which is payable to Halo Go before your account is reactivated; and
  2. for the second and subsequent reactivation requests, Halo Go will conduct a review on your previous activities in the Platform during the first reactivation period. Halo Go shall only approve your reactivation request if you have conducted a minimum of ten (10) transactions in the Platform during the first reactivation period, subjected to a penalty and/or processing fees charges.

 

  • You are only entitled to register one (1) account in the Platform. For avoidance of doubt, each email address can only be used for one (1) account. However, you may view and manage up to five (5) Halo Telco’s mobile numbers per NRIC in the Platform.

 

  • Halo Go reserves the right to terminate your account without notice if you are found to be attempting to register multiple accounts towards your personal interest without a valid reasoning, or using proxy Internet Protocols (IP) addresses in order to attempt to hide the use of multiple registration accounts or disrupts the Platform or the Services in any way.

 

  • Your account is non-transferable and shall not be assigned to any third party without Halo Go’s prior written consent.

 

  • You agree to never associate or link Halo Go and its stakeholders with any racial, religious, political, criminal, libelous or slanderous message or remark while using the Platform. In the event that you are found to be involved in such activities, Halo Go reserves the final right to permanently restrict or terminate your account without any notice and exercise legal actions.

 

 

  1. Membership

 

  • There are options to upgrade membership packages within the Platform, which is known as the Hero Membership. Each Hero Membership package comes with a set of offerings and rewards, which may vary from time-to-time due to availability and new products offering. The Hero Membership packages and the upgrade and downgrade reload amounts are as specified below:

  • Upon successful registration of account, you will automatically enjoy the benefits provided for our Hero Membership. You may upgrade your Membership at any time upon successful e-KYC process by purchasing the upgrade reload amount as stated in clause 2.1 above for the type of Hero Membership that you intend to join.

 

  • Upon successful reload transaction pursuant to your Membership upgrade amount, the amount of reload will be credited in your account as Coins and you will automatically enjoy the benefits offered in your new type of Membership. You shall regularly check your Membership status in the Platform from time to time to be aware of all the benefits offered for your type of Membership.

 

  • Halo Go has set a minimum requirement of Coins reload amount for every type of Membership which shall be the same amount as per the upgrade or downgrade amount stated in clause 2.1. You shall only be allowed to reload with the minimum amount as required by your Membership ranking. In the event that you failed to adhere to the minimum amount of reload as required by your type of Membership in your subsequent transaction after the Membership upgrade, you will be notified on the Membership downgrade options for you to choose the appropriate type of Membership.

 

  • Any payments made for the Membership upgrade or downgrade in the Platform shall be credited in your account as Coins upon successful Membership upgrade or downgrade.

 

  • In the event that you upgraded or downgraded to another type of Membership at any time, all the remaining Coins from your previous type of Membership will remain in your account, but shall automatically be subjected to the new Membership’s benefits.

 

  • Halo Go has the sole discretion to add, vary and/or discontinue any types of Membership and/or the benefits offered for the Memberships at any time, whether wholly or partially. In the event that Halo Go practices their discretion stated in this Clause 2.7, Halo Go shall inform you of their decision accordingly.



  1. Coins

 

  • Halo Go introduces Coins as a main currency in the Platform by which the Coins shall be used for all the transactions in the Platform, including but not limited to, to purchase the Products and/or Services offered in the Platform.

 

  • To purchase the Products and/or Services, you are required to perform a minimum amount of reload according to your type of Membership. Upon successful reload, the amount of reload will automatically be credited in your account as Coins.

 

  • The Platform has a wallet account limit of Ringgit Malaysia Five Thousand (RM5,000.00) only.

 

  • Whenever you purchase any Products and/or Services in the Platform, you will receive an incentive according to the type of Products and/or Services purchased and your membership ranking at that particular time. The incentive will be credited in your account as Go Life Credit.

 

  • In the event that your purchase of the Products and/or Services is unsuccessful for any reasons whatsoever, Halo Go will not deduct the Coins from your account. If a deduction occurs despite the unsuccessful purchase, the Coins will be reimbursed in your account automatically. Please contact our customer service for assistance if no reimbursement of Coins takes place within twenty-four (24) hours from the time of unsuccessful transaction.

 

  • Halo Go provides various payment methods for you to perform the reload transaction in the Platform, which includes but not be limited to:

 

  1. Credit card;
  2. Debit card;
  3. FPX; and
  4. e-Wallet applications.

 

  • Halo Go reserves the right at its own discretion to add or discontinue any payment methods stated in Clause 3.6 above. You will have the option to save your payment method for the subsequent transactions in the Platform.

 

  • Where applicable, Go Life Credits may also be used to purchase Coins. However, this transaction shall only be available in the Platform upon Halo Go’s notice.

 

  • Occasionally, you may receive Coins by way of promotions, referral and/or cashback activities as determined by Halo Go from time to time.

 

  • Unless otherwise stated, all payments made are strictly non-refundable nor exchangeable in any kind.

 

  • You confirm that the bank account, credit card, debit card and/or the e-Wallet that is being used for the payment belongs to you. In the event that you use a third party’s credit card, debit card and/or e-Wallet, kindly ensure the payment made by you to Halo Go is genuine. All credit/debit cardholders may be subject to validation checks and authorisation by the card issuer. If the issuer of your payment card refuses to or does not, for any reason, authorise payment to us, Halo Go will not be liable for any delay or non-delivery, and shall not be liable to reimburse, compensate or indemnify any party for fraudulent and deceitful act.

 

  • Halo Go shall exercise its discretionary right to reject any transactions if there is any suspicious or fraudulent attempt made by any party. Halo Go may decline to accept such orders for any reasons, including but not limited to, failure of the Company to meet credit check, unavailability of the Products or Services, and products or pricing errors.

 

  • You hereby agree and acknowledge that, unless expressly stated otherwise, all Coins within your account will expire in two (2) years from the date of the reload performed, of which if the Coins are not used upon its expiry date, will be forfeited and you fully indemnify Halo Go from any losses caused. In the event that you intend to reactivate the expired Coins in your account, you shall submit a request to our customer service within seven (7) days from the date of Coins expiry with a valid reasoning to request for the Coins reactivation subjected to the following conditions:
  1. For the first reactivation request, you will incur a penalty and/or processing fee which shall be paid to Halo Go before your account is reactivated; and
  2. For the second and subsequent reactivation requests, Halo Go will conduct a review on your previous activities in the Platform during the first reactivation period. Halo Go shall only approve your reactivation request if you have conducted a minimum of ten (10) transactions in the Platform during the first reactivation period, subjected to a penalty and/or processing fees charges.

 

  • Coins are strictly non-refundable and not exchangeable to cash or any kind, unless specifically stated otherwise.

 

  1. Incentives

 

  • Incentives are credited to you when you purchase the Products and/or Services in the Platform.

 

  • You may also receive incentives in your account when your downline(s) purchases any Products and/or Services in the Platform. The rate of the incentives credited to you shall be calculated based on your membership ranking at the time of the purchase was conducted.

 

  • Incentives are credited as Go Life Credit in your account.

 

  • Go Life Credits may be used in the following circumstances, of which circumstances may be added or discontinued from time to time according to Halo Go’s discretion:

 

  1. exchangeable to Coins to be used to purchase Products and/or Services in the Platform; and
  2. to be withdrawn as money, where processing fees may apply.

 

  • Pursuant to Clause 4.4 (b) above, you may perform withdrawal of your Go Life Credits in the Platform every two (2) weeks.

 

  • Halo Go provides various methods for Go Life Credits’ withdrawal (“Methods”), of which the Methods may be added or discontinued from time to time according to Halo Go’s discretion, as follows:
  1. your own bank account;
  2. your business bank account (where at least one of the business owners must be holding the bank account);
  3. third party’s bank account; and
  4. e-Wallet applications (where applicable).

 

  • In the event that the Methods mentioned in clauses 4.6 (a) and (b) above are unavailable or become inconvenient for you, only then you may opt to use a third party’s bank account. You shall submit the following information to us to be able to withdraw the credit using a third party’s bank account:
  1. A verification form (as provided by Halo Go) containing your details and the third party’s details;
  2. A copy of your NRIC together with the third party’s NRIC;
  3. Third party’s bank statement as provided by the bank; and
  4. Any other relevant information which may be required by Halo Go from time to time to facilitate the withdrawal process via third party’s account.

 

  • If you intend to amend your Method, you shall cancel the pending transaction immediately and update your preferred Method in the Platform accordingly or by contacting our customer support or our live chat before proceeding with the Go Life Credits withdrawal. In the event that you have failed to amend and update the Method before we process the payment, you hereby agree that you shall bear all the consequences that arise due to your failure to update us accordingly within the permitted period.

 

  • Halo Go is not responsible and shall not be held liable for any costs, risks, consequences and/or losses that may be suffered and/or incurred by you due to you opting to use a third party’s bank account and/or a business bank account as your preferred Method. You hereby agree that you shall bear all the costs, risks, consequences and/or losses that may arise from choosing a third party’s bank account and/or a business bank account as your Method.

 

  • You hereby agree that you have provided an active and valid bank account with a Malaysia local bank for the purpose of Go Life Credits withdrawal and to update accurate banking information for the withdrawal purpose. You further agree to grant absolute permission to Halo Go to conduct bank information verification on the bank account information provided. Halo Go reserves the final right to reject a withdrawal without notice should the bank account identity verification is failed. In the event that the bank account information provided is inaccurate, not a valid account, not an active account and/or a dormant account, verification will be conducted within thirty (30) days and you agree to fully indemnify Halo Go from any losses that may occur to you as a result. Halo Go reserves the right to request verification documents from you to proceed with a withdrawal request and you agree to provide the information requested within five (5) working days, failing which will affect your withdrawal request to be cancelled.

 

  • You agree and acknowledge that all your Go Life Credits within your account will expire according to the expiry date of your account as stated in Clause 1.15 above, of which if the Credits are not used nor withdrawn as cash upon its expiry date, will be forfeited and you fully indemnify Halo Go from any losses caused.

 

  • You may view your monthly statement and/or transaction history up until ninety (90) days in your account at any time. If you intend to view your transaction history after ninety (90) days, you shall contact our customer service for assistance. You should regularly review your monthly statement and transaction history to ensure that there have not been any unauthorized transactions. In the event that you discovered any unauthorized transactions in your account, kindly contact our customer service for assistance.

 

  1. Fees, Charges, Payment Terms, Interest and Taxes 

 

  • All payments under these Terms and Conditions shall be made payable in Ringgit Malaysia (RM) only.

 

  • Unless otherwise stated, all prices, fees, charges, interests and/or Taxes are accurate at the time of entering the information onto the Platform. The total cost of your purchase is the price of the Product and/or Service which may or may not be inclusive of any applicable Taxes, fees and/or interests, depending on the Product and/or Service purchased.

 

  • Unless otherwise stated, all payments made are strictly not refundable nor exchangeable in any kind.

 

  • Despite our best efforts, occasionally the Platform may experience system errors (“Errors”) which includes but not limited to:
  1. incorrectly priced Products and/or Services;
  2. incorrect deductions of amount of purchase and/or transactions;
  3. miscalculation of any payment, charges, fees, interest, taxes or prices; and
  4. miscalculation of errors in any rewards and amount of rewards or incentives credited in your account.

 

  • In the event that any of these Errors occur, Halo Go has the sole discretion to determine, amend, vary, revoke and/or revise the Errors. Halo Go reserves the right to request from you, within a reasonable time, to reimburse to Halo Go any amount of monies which was incorrectly paid by Halo Go to you due to the Error. If the transaction was conducted in the form of Credit in your account, Halo Go has the right to deduct your Credit balance to remedy the Error upon a written notice on such deduction. In the event that the Credit balance in your account is insufficient for the deduction, Halo Go shall deduct the credit from your account in the corresponding month’s Credit balance, or reject any use or withdrawal of your Credit in the corresponding months until the total amount of Credit due has been reimbursed.  

 

  • Halo Go does not withhold income taxes payable to the Governing Bodies and is not liable to any compensation or obligation with your income taxes (if any). You shall bear the sole responsibility in declaring and paying your obligation for income taxes including all credit earnings, prizes and benefits-in-kind received from Halo Go.



  1. Sale & Purchase of Product

 

  • You agree that the Products and Services made available and sold in the Platform may have an expiry date. In the event that the Products are not utilized and/or consumed upon expiration, you shall fully indemnify Halo Go for the losses caused as a result (if any) and acknowledge that it is strictly a no exchange and no refund sale policy.

 

  • In the event that Halo Go conducts a recall and/or compensation exercise, Halo Go endeavor to publish a notice for the exercise and all returns must be completed within the stipulated time in the published notice.

 

  • You agree to be accountable for any risks of the Products and/or Services, if any, from the time of successful purchase transaction of the Products and/or Services. Upon successful transaction, you shall check and verify that the Products and/or Services are accurate and complete as per what you have purchased. Notwithstanding Clauses 5.4 and 5.5 above, in the event that you notice any issues or have any complaints about the transaction, which includes but not be limited to issues on the amount deducted or charged for the purchase or issues with regards to the Products and/or Services received, you shall contact our customer service for assistance within twenty-four (24) hours from the date of the transaction. In the event that you notice any issues or have any complaints about the Products and/or Services received, you are required to notify Halo Go of any issues or complaints in writing accompanied by proofs of the Product and/or Services within twenty-four (24) hours from the date of the receipt of the Products and/or Services, failing which no further claims can be made nor will be entertained by Halo Go. Once the twenty-four (24) hours period has lapsed, you shall be deemed to have accepted the Products and/or Services and Halo Go shall not in any way be accountable or responsible for any issues. For avoidance of doubt, the issues and/or complaints mentioned in this clause shall include any issues during or after the purchase transaction regarding the system and/or the Products and Services purchased.

 

  • In the event that you purchase a Product and/or Service in the Platform on behalf of any other third parties, you are strictly prohibited from tampering with the Products and/or Services prior to the delivery of the Products and/or Services to the third parties, including but not limited to the following actions:
  1. using the Products and/or Services without the third party’s consent;
  2. selling the Products and/or Services not in accordance with Halo Go’s recommended retail price;
  3. conducting any fraudulent or suspicious acts while performing the transaction;
  4. conducting any acts which may prejudice Halo Go’s reputation; and/or
  5. conducting any other acts which in Halo Go’s sole discretion is not in Halo Go’s best interest.

 

  • In the event that you are found to be conducting any of the actions stated in Clause 6.4 above, you shall indemnify and hold harmless Halo Go for any losses or claims made by any third parties pursuant to your conducts. Halo Go reserves the right to proceed with any further actions against you in the event that you are found to be conducting any of the activities mentioned in Clause 6.4 above, including but not limited to imposing a fee or penalty, suspension or termination of your use of the Platform, and/or take any legal actions against you, of which actions shall not be prejudicial to any parties’ rights.

 

  • Halo Go shall have the discretion and right to make the relevant checks or calls to any party at any time for verification purposes for any purchases made in the Platform. In the event Halo Go is unable to perform the verification (without fault on Halo Go’s side) or the verification is unsuccessful in establishing the relevant party’s identity, Halo Go reserves the right to cancel and/or withhold the delivery of the Product.

 

  • We may ask for additional personal data, if necessary, for the purposes of verification of your identity or fraud prevention purposes.

 

 

  1. Referral, Marketing and Rewards (Where Applicable)

 

  • Halo Go conducts a referral program where you shall be entitled to an incentive if you share your referral codes to prospective Users. Halo Go provides a referral link sharing service to ease referral of Products and Services to prospective Users. Upon sharing of the referral code and successful registration of the prospective User, the incentive shall be granted to you in the form of Go Life Credits in your account within the stipulated time.

 

  • Halo Go also conducts marketing and rewards program for the Users from time to time which shall entitle the Users to obtain rewards if they fulfil the requirements of the specific program. The marketing and rewards program shall include but not be limited to rewards for lucky draws, contests, promotions and campaigns. The details and requirements of the programs shall be governed by the terms and conditions of such program.

 

  • Should the reward is granted in the form of Go Life Credits or Coins, the reward amount will be granted to the User’s account. User must ensure that their account is active during the time of granting of Credits or Coins to avoid failure of transaction. Should the reward is in physical form, the User can arrange for self-collection at Halo Go. For delivery of rewards, delivery charges may be applied to the User.

 

 

  1. Amendments

 

  • Halo Go reserves its rights to alter or otherwise vary these Terms and Conditions at any time and shall provide you notice thereof by email or by publishing the change of terms on the Platform or by other reasonable means. It is your responsibility to regularly check the Platform to determine if there have been changes to the Terms and Conditions and to review such changes. Should you be dissatisfied with any terms or conditions, you shall cease the use of the Platform immediately, failing which you shall be deemed to have consented to the Terms and Conditions as modified and/or varied from time to time.

 

  • Your continued use of the Platform, Products and/or Services or involvement thereof after notice of any change to the Terms & Conditions shall also be deemed to be your agreement to the amended Terms & Conditions.



  1. Acts of Defamation and Violation of Terms

 

  • You agree that if you are found to be involved in activities violating the instructions provided by Halo Go with regards to the use of the Platform, Products and/or Services, including but not limited to suspected fraudulent act in your account registration and/or purchases, does not abide to these Terms and Conditions, does not abide to any other terms & conditions related to the Platform, Products and/or Services, does not abide to the Privacy Notice of Halo Go, involved in acts of immorality and/or defamation to the Halo Go brand and/or to any stakeholders of Halo Go, your account will be indefinitely frozen from access without any form of notice and a related public notice will be published.

 

  • Halo Go reserves the right to proceed with any further actions against you in the event that you are found to be conducting any of the activities mentioned in Clause 9.1 above, including but not limited to imposing a fee or penalty, suspension or termination of your use of the Platform, and/or take any legal actions against you, of which actions shall not be prejudicial to any parties’ rights.

 

  • Pursuant to Clause 9.1, all services including but not limited to reload and purchase transactions, entitlement to incentives, rewards, Credits, promotions, campaigns and withdrawal of Credits will be disabled until your account is proven otherwise. Halo Go in its sole discretion, may also suspend your use of other Halo Go’s websites, mobile applications and/or any other services belonging to Halo Go which includes but not limited to the following platforms:
  1. HaloGo Application;
  2. HaloGo Corporate (where applicable);
  3. HaloGo Lifestyle; and
  4. Any other Halo Go’s platforms as determined by Halo Go from time to time.

 

  • All services and entitlement will resume should your account is released.

 

  1. Inheritance and beneficiary

 

  • You agree that your account in the Platform is strictly non-transferrable. You agree that your Platform’s account can be inherited only to the closest family members and it is the sole responsibility of the member to provide beneficiary information and to ensure all information of beneficiary is correct and accurate at all times. You agree that in the event that a will is executed, the terms stated in the will overrides the beneficiary information provided in your account.

 

  • It is the sole responsibility of the beneficiary of the inherited User’s account to report any incentive earned through the User’s account to the Governing bodies. 



  1. Information Submitted to Halo Go
    • Except for any personal and individually identifying information which we have agreed to keep confidential; any feedback, data, answers, questions, comments, suggestions, plans, ideas or the like that you send to us via the Platform, via email or otherwise, will be treated as being non-confidential and non-proprietary. We assume no obligation to protect such information from disclosure and will be free to reproduce, use, and distribute the information to others without restriction. We will also be free to use any ideas, concepts, know-how or techniques contained in information that you send us for any purpose whatsoever including but not limited to developing, manufacturing and marketing products and services incorporating such information.



  1. Anti-Money Laundering, Anti-Terrorism Financing and Proceeds of Unlawful Activities Act 2001 (AMLATFPUAA) & Financial Services Act 2013 (FSA)

 

  • Halo Go and its related companies undertake to adhere and comply to all applicable laws, guidelines, rules, regulations, policies and the like relating to AMLATFPUAA in all activities pursuant to the purposes of this Platform.

 

  • Halo Go undertakes to use, manage and disclose all the documents and/or information collected from you relating to the Services provided in this Platform, in accordance with the Financial Services Act 2013 (FSA).

 

 

  1. Indemnity

 

  • You agree to fully indemnify, defend and hold harmless Halo Go, its directors, officers, employees, suppliers, licensors, agents, and any third party content providers, from and against any losses, damages, claims, costs, expenses, demands, and actions, due to or arising out of your use of the Platform, your access or connection to the Platform, your violation of these Terms and Conditions, or your violation of any rights of another. Halo Go reserves the right to assume the defense and control of any matter subject to indemnification by you, in which event you will cooperate with Halo Go in asserting any available defenses.

 

  • Further, you shall indemnify and save harmless Halo Go against and from all claims, proceedings, damages, costs and expenses which may be brought against Halo Go or to which he may be subjected to by reason of you infringing or being held to have infringed any intellectual property rights.

 

  • Halo Go shall not be liable in any way to you whether in contract, tort (including negligence or breach of statutory duty) or otherwise for any loss, damage or liability incurred or sustained by you caused by or as a result of:

 

  1. any failure, delay, interruption to or disruption of the Platform in the transmission or reception of any data through the Platform, howsoever caused or arising;
  2. any loss, corruption or deletion of any data or information transmitted to or stored in any system or equipment, howsoever caused or arising;
  3. a Force Majeure event;
  4. the disclosure and/or publication by Halo Go of any information or data relating to you, howsoever caused or arising;
  5. the use in any manner and/or for any purpose whatsoever by any person at any time whatsoever and from time to time of any information or data relating to you through the use of the Platform; and/or
  6. any unavoidable error, omission or inaccuracy in any information provided by Halo Go whether to you or any person and whether in any publication or as part of or in connection with the Platform or otherwise.



  • Governing Law and Jurisdiction

 

  • Any agreements created between you and Halo Go via this Platform will be deemed to have been made in Malaysia only and shall be governed and construed according to the laws of Malaysia. Any disputes or proceedings shall be subject to the exclusive jurisdiction of the Courts of Malaysia.

 

  • Halo Go’s failure to insist upon or enforce strict performance of any provision of these Terms shall not be construed as a waiver of any provision or right.

 

  • If any part of these Terms and Conditions are held to be unenforceable, the unenforceable part shall be given effect to the greatest extent possible and the remainder will remain in full force and effect.

 

  • Any part of these Terms and Conditions that is invalid, unenforceable or illegal shall be enforced as nearly as possible in accordance with its terms, but shall otherwise be deemed severed and shall not affect the enforceability of any other part of the these Terms and Conditions, which shall continue to be valid and enforceable to the fullest extent permitted by law.

 

  • These Terms and Conditions are for the benefit of Halo Go and its directors, officers, employees, suppliers, licensors, agents, and any third party content providers to the Platform. Each of these individuals or entities shall have the right to assert and enforce those provisions directly against you on its own behalf.

  • If any of these Terms & Conditions in the Platform is held to be illegal or invalid under present or future laws or regulations effective and applicable during the term of this Platform, such Terms & Conditions shall be fully severable and shall be construed as if such illegal or invalid Terms & Conditions had never comprised as part of the Platform and the remaining Terms & Conditions in the Platform shall remain in full force and effect and shall not be affected by the illegal or invalid Terms & Conditions or by its severance from the Platform.
